SMW Spezialmaschinenbau GmbH & Co. KG, based in Neubrandenburg, is an established manufacturer of complex welded assemblies and mechanical components for safety-critical applications. For decades, the company has supplied well-known customers, particularly in the rail vehicle construction sector.<\/p>\n
In October 2024, SMW filed for insolvency due to economic difficulties. Christian Graf Brockdorff from the law firm BBL Brockdorff Rechtsanwaltsgesellschaft mbH was appointed as preliminary insolvency administrator.<\/p>\n
Through a structured M&A process, HSE Hennigsdorfer Steel Engineering GmbH and Buffer Technologies GmbH were identified as strategic investors. With creditor approval, a transfer restructuring was implemented, and the business operations along with the majority of employees were transferred to the respective investors in May 2025.<\/p>\n
The joint solution secures the continuation of business operations. All jobs were preserved, and existing customer relationships continue seamlessly. Both HSE and Buffer Technologies bring extensive industry experience and a strong network in the field of industrial manufacturing.<\/p>\n
Centuros supported management and the insolvency administrator exclusively throughout the structured M&A process and successfully guided the implementation of the transaction.<\/p>\n
